The Separation of Ownership and Control: The Case of German Industry There is a long standing
debate on the separation of ownership and control and its implications
for corporate governance and social welfare. The speech reports on a longitudinal
study on the development of managerial control in German industry, more
precisely in the 350 largest German firms. Starting from 1972 the study
covers the years 1979, 1986 and 2001. As there are not so many public
corporations in Germany as compared to UK or USA the German situation
needs some special operationalizations and analysis. The results show
a considerable degree of separation but no increasing split over the years.
The control situation, however, largely varies across industries. The
final part of the speech focuses on the practical implications and advocates
the view that the separation of ownership and control is structural feature
of modern societies. Instead of activating the small shareholders it seems
more reasonable to compensate the resulting power gap by other control
mechanisms. |
